Companies faced with potential enforcement actions by EPA and/or a state regulatory agency enter into consent decrees for a variety of reasons. Entering into a consent decree allows companies to resolve the governments’ claims and avoid the risks and cost of litigation, and provides a degree of flexibility in the ultimate resolution of the case through the negotiation of penalties, emission reductions, control equipment requirements, and timing requirements. In some cases, entering into a consent decree also enables companies to obtain penalty reduction and goodwill by undertaking supplemental environmental projects (“SEPs”). Further, entering into a consent decree typically provides future compliance certainty with respect to existing legal obligations.
